1. Acceptance of Terms

By accessing or using the HTY Properties LLC website at www.htyproperties.lol, or by engaging our computer systems design, IT integration, or consulting services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not access our website or use our services. These terms constitute a legally binding agreement between you and HTY Properties LLC, a limited liability company organized under the laws of the State of Utah with its principal place of business at 11238 S Gunn Trail Cir, South Jordan - 84095-2212, United States.

We reserve the right to modify these Terms of Service at any time without prior notice. Changes become effective immediately upon posting to our website. Your continued use of our website or services after changes are posted constitutes your acceptance of the modified terms. We encourage you to review these terms periodically. Specific service engagements may be subject to additional terms contained in separate service agreements, statements of work, or proposals. In the event of a conflict between these general terms and a specific service agreement, the specific service agreement shall govern for the subject matter of that engagement.

2. Description of Services

HTY Properties LLC provides professional computer systems design, IT infrastructure integration, cybersecurity consulting, software engineering, data analytics, cloud architecture, and related technical advisory services to enterprise clients. Each service engagement is defined by a written proposal, statement of work, or service agreement that specifies the scope of work, deliverables, timeline, fees, payment terms, and acceptance criteria. We reserve the right to accept or decline any service request in our sole discretion for any lawful reason.

While we use commercially reasonable efforts to deliver services in accordance with agreed specifications and timelines, we do not guarantee that our services will be uninterrupted, error-free, or meet specific performance metrics beyond those expressly stated in a signed service agreement. Technical factors beyond our reasonable control may affect service delivery. All services are provided subject to the availability of qualified personnel and resources.

3. Website Use and Conduct

You agree to use our website only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict or inhibit their use of the website. Prohibited conduct includes transmitting or distributing any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. You must not attempt to gain unauthorized access to any part of our website, servers, or systems, or engage in any activity that could damage, disable, overburden, or impair our infrastructure.

You must not introduce viruses, trojans, worms, logic bombs, or other malicious code into our systems. You must not conduct systematic or automated data collection activities including scraping, data mining, or extraction without our express written permission. You must not impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity. 4. Intellectual Property Rights

4.1 Ownership of Website Content

All content, materials, and intellectual property displayed on the HTY Properties LLC website including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layouts, underlying code, and software, are the exclusive property of HTY Properties LLC, its affiliates, or its licensors. This content is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these terms grants you any right, title, or interest in any intellectual property owned by us.

You may view, download, and print portions of our website content for personal, non-commercial reference purposes only, provided you do not modify the content and retain all copyright and other proprietary notices. Any other use, including reproduction, modification, distribution, republication, public display, or transmission of website content without our prior written consent is strictly prohibited. Our trademarks and trade dress may not be used in connection with any product or service without our written permission.

4.2 Deliverables Ownership

Upon full payment of all fees due under a specific service agreement, ownership of the custom deliverables expressly identified in that agreement transfers to you. Deliverables include custom software code, architectural designs, documentation, and other work product specifically created for your engagement. Ownership transfers only for deliverables for which full payment has been received. Any deliverables not fully paid for remain our property.

Notwithstanding the foregoing, HTY Properties LLC retains all rights, title, and interest in and to any pre-existing materials, tools, methodologies, libraries, frameworks, templates, and know-how that we use in the course of providing services, whether developed by us independently or acquired from third parties. We also retain the right to use general knowledge, skills, and experience acquired during service delivery for future projects, provided we maintain confidentiality obligations.

4.3 Client Materials License

You grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display your materials to the extent necessary to perform services under our agreement. This license terminates upon completion of the services, except that we may retain copies as required for record-keeping or as necessary to address ongoing support obligations. You represent and warrant that you have all necessary rights to grant this license.

5. Confidentiality

HTY Properties LLC acknowledges that during the course of providing services, we may have access to confidential information belonging to you, including business strategies, technical specifications, system architectures, financial data, customer information, trade secrets, and proprietary methodologies. We agree to maintain the strict confidentiality of such information and to use it solely for the purpose of delivering the contracted services. We will not disclose your confidential information to any third party without your prior written consent, except as required by law or legal process.

We will implement appropriate safeguards to protect your confidential information from unauthorized access, disclosure, or use. Our confidentiality obligations survive the termination of any service agreement for a period of five years, or indefinitely for trade secrets. Confidential information does not include information that is or becomes publicly available through no fault of ours, information already in our possession without confidentiality obligations, or information independently developed by us without reference to your confidential information.

6. Disclaimer of Warranties

HTY PROPERTIES LLC PROVIDES ITS WEBSITE AND SERVICES ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR WEBSITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SYSTEMS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH OUR SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, WARRANTIES ARE LIMITED TO THE MINIMUM EXTENT PERMITTED BY APPLICABLE LAW.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HTY PROPERTIES LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR WEBSITE OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH DAMAGES ARE SOUGHT, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS OR IN CONNECTION WITH OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO HTY PROPERTIES LLC FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS, WHICHEVER IS LESS. THIS LIMITATION APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification

You agree to indemnify, defend, and hold harmless HTY Properties LLC, its members, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses including reasonable legal fees arising out of or related to your use of our website in violation of these terms, your violation of any applicable law or regulation, your infringement of any third-party intellectual property or other rights, or any content or materials you submit through our website. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms of Service and any disputes arising out of or relating to them, their subject matter, or their formation are governed by the laws of the State of Utah, United States, without regard to conflict of law principles that would require the application of the laws of another jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

9.2 Dispute Resolution Process

Any dispute, controversy, or claim arising out of or relating to these terms or our services shall be first submitted to good-faith negotiations between the parties. If the dispute cannot be resolved through informal negotiation within 30 days of written notice, the dispute shall be finally settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be held in Salt Lake County, Utah, and judgment on the arbitration award may be entered in any court having jurisdiction.

9.3 Jurisdiction and Injunctive Relief

The parties submit to the personal jurisdiction of the state and federal courts located in Salt Lake County, Utah for purposes of enforcing arbitration awards and seeking injunctive relief. Nothing in this section prevents either party from seeking interim or provisional relief including injunctive relief from any court of competent jurisdiction where necessary to protect intellectual property rights, confidential information, or other proprietary interests pending resolution of the dispute.

10. General Provisions

10.1 Entire Agreement

These Terms of Service, together with any applicable service agreement and any documents expressly incorporated by reference, constitute the entire agreement between you and HTY Properties LLC regarding your use of our website and services, superseding any prior agreements or communications.

10.2 Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

10.3 Waiver

No waiver of any provision of these terms shall be effective unless in writing and signed by the party against whom enforcement is sought. The failure of either party to enforce any right or provision shall not constitute a waiver of future enforcement of that right or provision.

10.4 Assignment

You may not assign or transfer any rights or obligations under these terms without our prior written consent. We may assign these terms in whole or in part without your consent in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets. These terms are binding upon and inure to the benefit of the parties and their permitted successors and assigns.

10.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, governmental actions, pandemics, earthquakes, floods, fires, or failures of telecommunications or internet infrastructure. The affected party shall provide prompt notice and resume performance as soon as reasonably practicable.

10.6 Independent Contractor

Nothing in these terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and HTY Properties LLC. Each party is an independent contractor, and neither party has the authority to bind the other or to incur obligations on the other's behalf.

10.7 Notice

Notices under these terms shall be in writing and sent to the addresses specified in the applicable service agreement or to the contact information below. Notices are deemed given when received by email or three business days after mailing by certified mail. We may provide notices to you via email to the address you provide or through a posting on our website.
